Terms and Conditions of Sale
1. Preamble
These General Terms and Conditions of Sale (the “Terms of Sale”) govern the subscription to and use of the paid plans of the Kaissa service, available at kaissa.net (the “Service”).
The Service is published and marketed by Pionics, a simplified joint-stock company with a share capital of 5,000 euros, registered with the Toulouse Trade and Companies Register (RCS) under number 938 387 768, whose registered office is located at 31 rue de Cugnaux, Bâtiment B, Appartement 66, 31300 Toulouse (“Pionics” or “we”). Contact: contact@kaissa.net.
Pionics benefits from the small-business VAT exemption scheme (article 293 B of the French General Tax Code). Prices are expressed in euros and do not include VAT.
2. Definitions
- User: any person with an account on the Service.
- Consumer: a User who is a natural person subscribing for purposes outside the scope of their professional activity.
- Professional: a User subscribing on behalf of an association, a company or a self-employed activity, identified by an RNA or SIRET number.
- Professional Account (or “Licence”): a paid plan giving access to the advanced features of the Service.
- Team: a collective space created by a User on the Service, bringing together several Users (members).
- Team Administrator: a User who manages a Team, enters its billing information and assigns Licences to, or withdraws them from, its members.
- Customer: the person (natural or legal) in whose name invoices are issued, as entered in the billing information.
3. Acceptance of the Terms of Sale
Any subscription to a Professional Account, for oneself or for the members of a Team, implies full and complete acceptance of these Terms of Sale. This acceptance is given by clicking the confirmation button displaying the price and the billing terms.
The User who enters a Team's billing information declares that they are authorised to bind the Customer on whose behalf they act.
Pionics keeps proof of each acceptance (date, time, account identifier, IP address, accepted text).
4. Description of the Service and plans
Kaissa is a chess game analysis application. A free plan gives access to the basic features. The Professional Account gives access to all the advanced features, as described on the website at the time of subscription.
The Professional Account can be subscribed to in two ways:
- Individual subscription: the User subscribes for their own account (article 5).
- Team Licence: a Team Administrator assigns Licences to the members of their Team, billed to the Team's Customer (article 6).
A User may hold only one Professional Account at a time: a Team Licence cannot be assigned to a User who already has an active individual subscription or a Licence assigned by another Team.
5. Individual subscription
The individual subscription is offered at €4.99 per month, with no minimum term.
The User creates a personal account, chooses the plan and enters their payment method on the secure payment page. The subscription is active as soon as the first payment is confirmed.
The subscription is tacitly renewed each month on its anniversary date. Each monthly instalment is charged automatically to the registered payment method.
The User may cancel at any time from their personal area. Cancellation takes effect at the end of the current subscription month, which has already been paid, with no refund for the period started.
6. Team Licences
6.1 Creation and administration
Any User may create a Team and become its Administrator. To assign Licences, the Administrator enters the Team's billing information and chooses the Customer profile: Association, Company or self-employed, or Individual. The mandatory information (identity or company name, full address, RNA or SIRET number for Professionals) must be accurate and kept up to date.
The Individual profile is reserved for Consumers. The Association and Company profiles are reserved for Professionals; the provisions of the French Consumer Code do not apply to them.
6.2 Assigning and withdrawing Licences
The Administrator assigns a Licence to a member from the Team's space. Each assignment is confirmed in a window displaying the name of the member or members concerned, the monthly price of each Licence and the new amount of the Team's monthly invoice.
The Administrator may withdraw a Licence at any time. The member keeps their account and returns to the free plan.
6.3 Licence billing rule
Licences are billed per calendar month. Any Licence assigned for at least one day during a month is due for that entire month, regardless of the date of assignment or withdrawal. No proration or refund applies.
Withdrawing a Licence takes effect immediately for access to the Service and at the end of the current month for billing. Assigning a Licence to a new member constitutes a new Licence, billed for the current month.
6.4 Administrator's responsibility
The Administrator is solely responsible for managing their Team's members and Licences. The Customer is liable for all Licences assigned by its Administrators.
7. Prices, promotional codes and VAT
The Professional Account is offered at €4.99 per month per User, both as an individual subscription and as a Team Licence. The prices in force are those displayed on the Service at the time of subscription or assignment.
Pionics may issue promotional codes entitling the holder to a discount or a specific rate. The conditions of each code (amount, duration, eligible plans, deadline) are specified when it is communicated. A code may be used only once per account, unless otherwise stated, and can neither be combined nor exchanged for cash.
Pionics benefits from the small-business VAT exemption scheme (article 293 B of the CGI): prices do not include VAT and invoices bear the corresponding statement. Should Pionics become liable for VAT, prices would be adjusted under the conditions of article 12.
8. Payment
8.1 Payment methods
Payments are processed by the payment service provider Mollie B.V. Pionics stores neither card numbers nor IBANs; only the payment method reference and its last characters are kept for display purposes.
The accepted payment methods are:
- Bank card: for all Customers.
- SEPA Direct Debit: for all Customers, upon signature of a direct debit mandate.
- Bank transfer: on request at contact@kaissa.net, for Association and Company Customers only.
The Customer warrants that they are authorised to use the chosen payment method and that it has sufficient funds.
8.2 SEPA Direct Debit mandate
By choosing SEPA Direct Debit, the Customer electronically signs a recurring direct debit mandate in favour of Pionics, via Mollie. The unique mandate reference and the SEPA creditor identifier are sent to them by email after signature.
The Customer is informed of the amount and date of each direct debit by the invoice sent by email at least two business days before the debit. The Customer expressly accepts this reduced pre-notification period in place of the fourteen-day period provided for by the SEPA rules.
The Customer may revoke the mandate at any time from the Team's space or through their bank. Revocation does not extinguish the sums due; another payment method must then be registered.
8.3 Time of payment
- Individual subscription: the first monthly instalment is paid on subscription, subsequent ones on each anniversary date.
- Team Licences, Individual Customer: the first Licence assigned is paid immediately for the current month; this amount is deducted from the Team's first monthly invoice.
- Team Licences, Association or Company Customer: no payment is required on assignment. The payment method is registered without being charged; Licences are billed at the end of the month (article 9).
For payment by SEPA Direct Debit, an Individual Customer's first direct debit is confirmed within two to three business days; the Licences concerned are activated upon this confirmation.
9. Team billing and unpaid invoices
9.1 Monthly invoice
On the last day of each calendar month, Pionics issues the Team's invoice. It includes all Licences assigned for at least one day during the month, at the unit price in force, less any payments already made for that month. The invoice is sent by email to the Team's billing address and is available in the Team's space.
The amount is debited from the registered payment method no earlier than two business days after the invoice is sent. For Customers who have opted for bank transfer, the invoice is payable on receipt, within eight days.
9.2 Unpaid invoices
In the event of a failed payment or an invoice unpaid by its due date:
- A first reminder is sent by email on the day after the failure or the due date.
- A second reminder is sent seven days after the first.
- If payment has not been made seven days after the second reminder, all of the Team's Licences are suspended. Members return to the free plan and no new Licence can be assigned.
Licences are restored as soon as payment is settled. Suspension does not release the Customer from payment of the sums due. For Professional Customers, any late payment automatically incurs penalties at the statutory interest rate plus ten percentage points and a fixed recovery fee of 40 euros (articles L. 441-10 and D. 441-5 of the French Commercial Code).
10. Term, renewal and termination
Individual subscriptions and Team Licences are entered into for a period of one month, tacitly renewed, with no minimum term.
The individual subscription is cancelled from the personal area; a Team Licence is cancelled by withdrawing it from the member in the Team's space. In both cases, cancellation takes effect at the end of the current month, which is already due.
Any Customer may close their Team at any time; the invoice for the current month remains due.
Pionics may terminate an account or a Team, after a formal notice that has remained unheeded for eight days, in the event of a serious breach of these Terms of Sale or of the Service's terms of use.
11. Right of withdrawal (Consumers)
In accordance with articles L. 221-18 et seq. of the French Consumer Code, the Consumer has fourteen days from subscription to withdraw without giving any reason.
As the Service is performed immediately, a Consumer who, when subscribing or when a Licence is assigned, requests immediate performance of the Service by ticking the box provided for that purpose acknowledges that their right of withdrawal can no longer be exercised once the Service has been fully performed, that is, once access to the Professional Account has been opened (article L. 221-28, 1° and 13° of the French Consumer Code).
If the Consumer withdraws before access is opened, they are refunded in full within fourteen days to the payment method used. The request should be sent to contact@kaissa.net or made using the model form set out in the annex to the French Consumer Code.
The right of withdrawal does not apply to Professional Customers.
12. Changes to prices and to the Terms of Sale
Pionics may change its prices and these Terms of Sale. Customers are informed by email at least thirty days before the changes take effect. The new price applies to invoices issued after that date. A Customer who does not accept the change may cancel free of charge before it takes effect; otherwise, they are deemed to have accepted it.
The applicable Terms of Sale are those in force on the date of each invoice.
13. Availability and liability
Pionics endeavours to ensure continuous access to the Service, but does not guarantee uninterrupted availability. Interruptions for maintenance may occur; planned interruptions are announced in advance where possible.
Pionics is bound by a best-efforts obligation. Its liability towards a Professional Customer is limited, for all causes combined, to the amounts invoiced to that Customer over the last twelve months. This limitation does not apply to Consumers, nor in the event of gross negligence or wilful misconduct.
The analyses produced by the Service are provided for information purposes only; Pionics does not guarantee their accuracy or any competitive results that might depend on them.
14. Personal data
Billing and payment data is processed by Pionics, as controller, and by Mollie B.V., as payment service provider, for the performance of the contract and compliance with accounting obligations. It is kept for ten years from the date of the invoice in accordance with the French Commercial Code.
The Team Administrator has access to the username and email address of their Team's members, as well as the status of their Licence. They undertake to use this data solely for managing the Team.
The full processing terms and data subjects' rights (access, rectification, erasure, objection) are described in the Service's Privacy Policy.
15. Mediation, governing law and jurisdiction
Any complaint should first be sent to contact@kaissa.net. Pionics responds within thirty days.
In accordance with the provisions of the French Consumer Code concerning “the consumer dispute mediation process”, after contacting us and in the absence of a satisfactory response, the Consumer may use a consumer mediation procedure free of charge with:
- CM2C
- 49 rue de Ponthieu, 75008 PARIS
- Tel: 01 89 47 00 14
- Website: https://www.cm2c.net/declarer-un-litige.php
- Email: litiges@cm2c.net
The Consumer may also use the European Online Dispute Resolution platform: https://ec.europa.eu/consumers/odr.
These Terms of Sale are governed by French law. For Professional Customers, any dispute falls within the exclusive jurisdiction of the courts of Toulouse. For Consumers, the statutory rules on jurisdiction apply.
